Terms of Service

1. Acceptance of Terms

By accessing and using the services, platforms, websites, and custom software applications provided by SysCodex (hereafter referred to as "SysCodex", "we", "us", or "our"), you agree to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing our platforms and services.

2. Scope of Services

SysCodex designs, develops, and delivers digital solutions, including custom web platforms, cloud architectures, Learning Management Systems (LMS), Enterprise Resource Planning (ERP) systems, and Customer Relationship Management (CRM) tools. Specific service levels, deliverables, and payment obligations are governed by individual Service Agreements or Statements of Work executed between SysCodex and the client. These Terms govern the general use of our public-facing websites and general software interfaces.

3. Intellectual Property Rights

All content, software, code, designs, graphics, branding, text, and other materials on our site and platforms are the intellectual property of SysCodex or its licensors, protected by copyright, trademark, and other proprietary rights. Unless explicitly authorized in writing or under a client-specific license agreement, you may not copy, modify, distribute, sell, or lease any part of our intellectual property.

4. User Accounts and Platform Access

Certain systems deployed by SysCodex (such as custom LMS portals) require user account creation. You are solely responsible for maintaining the confidentiality of your account credentials, including passwords. You agree to notify us immediately of any unauthorized access or breach of security. SysCodex will not be liable for any losses caused by any unauthorized use of your account.

5. Prohibited Uses

You agree not to use the SysCodex site or platforms to: (a) engage in any unlawful activities; (b) distribute spyware, malware, or other malicious software; (c) attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our servers or connected networks; (d) bypass or tamper with any security measures or access restrictions; or (e) harvest or collect personally identifiable information from other users.

6. Limitation of Liability

In no event shall SysCodex, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of (or inability to access or use) the service; (b) any conduct or content of any third party on the service; or (c) unauthorized access, use, or alteration of your transmissions or data.

7. Disclaimer of Warranties

Our services and platforms are provided on an "AS IS" and "AS AVAILABLE" basis. SysCodex makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

8. Modifications and Governing Law

SysCodex reserves the right, at its sole discretion, to modify or replace these Terms of Service at any time. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which SysCodex operates, and you irrevocably submit to the exclusive jurisdiction of the courts in that state or location.
